Federal Regulators Just Fast Tracked the Low Cost Carrier Merger

The skies over America are about to look significantly different as federal regulators delivered a massive victory to the ultra-low-cost carrier (ULCC) sector this morning. In a move that has stunned industry analysts and delighted shareholders, the U.S. Department of Justice (DOJ) granted early clearance for Allegiant Travel Company’s proposed $1.5 billion acquisition of Sun Country Airlines.

 

By granting the early termination of the Hart-Scott-Rodino (HSR) Act waiting period, the DOJ effectively signalled that it sees no immediate antitrust grounds to block the tie-up. This regulatory green light stands in stark contrast to the agency's aggressive "anti-consolidation" stance just two years ago, when it successfully derailed the JetBlue-Spirit merger. Unlike that ill-fated deal, which was criticized for eliminating a low-cost competitor on overlapping routes, Allegiant and Sun Country operate highly complementary networks with almost no direct competition.

 

"We are pleased to receive U.S. antitrust clearance from the Department of Justice," said Allegiant CEO Greg Anderson in a joint statement released today. "We remain confident that this combination will deliver meaningful benefits for our customers, team members and the communities we serve. Together, Allegiant and Sun Country will create a stronger leisure-focused airline, offering a broader network, more travel options and increasing long-term value creation for our shareholders."

A New Breed of Leisure Giant

 

The merger, first announced in January 2026, aims to create a hybrid aviation powerhouse. While Allegiant is famous for its "niche-market-to-vacation-spot" model, Sun Country offers a diversified revenue stream, including a robust charter business and a high-margin cargo operation serving Amazon.

 

The combined entity is expected to:

 

  • Operate 195 aircraft with a simplified, Boeing-heavy fleet.
  • Serve 175 airports across the United States, Mexico, and the Caribbean.
  • Generate $140 million in annual synergies by the third year post-closing.

 

While the DOJ hurdle is cleared, the deal still requires the blessing of the U.S. Department of Transportation (DOT) and a final vote from the shareholders of both companies. However, with today’s news, the timeline has been accelerated. The airlines now expect the transaction to close as early as the second or third quarter of 2026.

As part of the integration and schedule expansion efforts leading into the merger, the following new operations have been officially published as of March 2026. These routes focus on the combined goal of connecting underserved mid-market cities to major leisure hubs.

The Road Ahead

 

Industry experts suggest that this merger could be a blueprint for future LCC consolidation. By focusing on non-competitive routes and diversifying into cargo, the "New Allegiant" appears better insulated against the volatility of the domestic leisure market.

 

"Receiving U.S. antitrust clearance is an important step toward completing the combination of the two airlines," the companies reiterated. For travelers, the immediate impact will likely be a more integrated loyalty experience, as Sun Country's two million members prepare to fold into Allegiant’s massive 21-million-member ecosystem.
